Board of Directors

The board of directors is the group of owners elected to manage the corporation's affairs. Between general meetings, the board makes the day-to-day decisions that keep the corporation running.

What it means for your board

If you're reading this, you're probably on one. In a small self-managed corporation, the board is the management — handling finances, maintenance, bylaw enforcement, and meeting organization, usually as volunteers.

Directors are elected by owners, typically at the AGM, and act collectively through decisions recorded in the minutes. Directors are expected to act honestly, in good faith, and in the best interests of the corporation — a real responsibility, even for a volunteer board.

What the Condominium Property Act says

A condominium corporation is managed by a board elected by the owners, and directors owe duties to the corporation — including acting honestly, in good faith, and with care — as set out in the Condominium Property Act and the corporation's bylaws, which also govern board size, eligibility, and elections.
